Bolt Free Trial Agreement
Last updated Tuesday, September 17, 2024
This Bolt Free Trial Agreement (“Free Trial”) by and between Bolt Financial, Inc. (“Bolt”) and you (the “Merchant” or “you”) governs Merchant’s acquisition and use of the self-service implementation of the Bolt Ignite, which is software that is embedded within a merchant’s existing logged in account checkout experience and guest checkout experience to automatically recognize shoppers with Bolt Accounts via APIs, for the Free Trial. By accepting this Free Trial, Merchant agrees to be bound by the terms herein.
1. Term.
The Term of this Free Trial shall start on the date Merchant accepts this Free Trial online (the "Effective Date") and shall continue for a period of 100 days (the “Trial Period”). This Free Trial will automatically terminate at the Trial Period expiration and will not renew. Merchant must sign a separate agreement with Bolt in order to continue to use Bolt Ignite after the expiration of the Trial Period.
2. Fees.
The Free Trial under this Agreement will be provided at no cost to Merchant.
3. Eligible.
This Free Trial is available to merchants that have not previously used any Bolt Services. Merchant represents and warrants that it meets this eligibility criteria.
4. Master Services Agreement.
Bolt's Master Services Agreement (the "MSA") found at https://www.boltapp.com/msa is incorporated by reference into this Free Trial and sets forth the terms and conditions for Merchant’s use of the Bolt Services. Merchant acknowledges and agrees that this Free Trial and MSA together constitute an agreement (the “Agreement”) between Bolt and Merchant (each a “Party” and collectively the “Parties”), and Merchant has reviewed and agrees to the Agreement in whole. All capitalized terms not defined in this Free Trial will have the meanings set forth in the MSA. In the event there is a conflict between the terms of this Free Trial and the MSA, the Free Trial terms shall control.
5. Self-Service.
Merchant is solely responsible for implementation of Bolt Ignite during this Free Trial. In addition to the terms provided in the MSA, Merchant shall (i) defend Bolt from and against any suit or action brought by a third-party against Bolt arising out of or resulting from any acts, errors, or omissions of Merchant in implementing Bolt Ignite, and (ii) indemnify and hold harmless Bolt from and against any losses, claims, suits, controversies, breaches or damages, (including reasonable attorney fees) arising out of or resulting from any acts, errors, or omissions of Merchant in implementing Bolt Ignite. Furthermore, IN NO EVENT WILL BOLT (INCLUDING ITS AFFILIATES, SUPPLIES, OFFICERS, DIRECTORS, EMPLOYEES OR CONTRACTORS) BE LIABLE TO MERCHANT UNDER THIS AGREEMENT FOR ANY LOSSES, CLAIMS, SUITS, CONTROVERSIES, BREACHES OR DAMAGES ARISING OUT OF OR RESULTING FROM ANY ACTS, ERRORS, OR OMISSIONS OF MERCHANT IN IMPLEMENTING BOLT IGNITE REGARDLESS OF THE FORM OF ACTION OR LEGAL THEORY AND WHETHER OR NOT ARISING IN CONTRACT OR TORT. NOTHING IN THIS AGREEMENT SHALL LIMIT OR EXCLUDE ANY LIABILITY WHICH MAY NOT BE RESTRICTED, LIMITED OR EXCLUDED PURSUANT TO APPLICABLE LAW.
6. Entire Agreement.
This Agreement constitutes the complete and exclusive agreement between the parties concerning the Free Trial and supersedes all prior or contemporaneous agreement or understandings concerning the subject matter of this Agreement.
