What is Bolt

Bolt is democratizing ecommerce by making online buying easy, trusted, and consistent for millions of shoppers.

Bolt Services includes an end-to-end checkout platform that makes the buying experience safe, secure, and easier than ever with a one-click, passwordless login. You then have the opportunity to create a Bolt Account with a one-click checkout, which gets you into the Bolt network of hundreds of retailers and growing.

Bolt also offers Bolt Checkout Everywhere, where Bolt works with merchants and digital publishers to allow for a frictionless commerce experience across websites, digital and mobile publications, and mobile applications with the Bolt Checkout Everywhere platform.

Bolt also has a mobile application (“App”) that may facilitate your access to two distinct types of third-party services: (i) banking services, including deposit accounts and debit cards (“Banking Products”), provided by Bolt’s bank partner (the “Bank”), and (ii) digital asset services, including wallet and account (the “Wallet”) (collectively, the “Exchange Services”), provided by Bolt’s digital asset services partner (the “Exchanger”). Each of the Bank and Exchanger are independent third-party financial institutions, and their respective services are governed separately. Use of Banking Products is subject to separate eligibility criteria and the Bank’s agreement governing the Banking Products (the “Bank Agreement”), and Exchange Services are subject to separate eligibility criteria and the Exchanger’s agreement governing the Exchange Services (the “Exchanger Agreement”). Bolt makes no representation or warranty as to whether the Bank or Exchanger will approve or continue to provide you with access to their respective services. Either may deny, suspend, or terminate your access to their services in accordance with their respective terms. Bolt does not provide any banking services, money transmission services, or digital asset services. Our role is limited to operating software that allows you to access the services of the Bank and the Exchanger. All banking, lending, and money transmission services are provided solely by the Bank, and all digital asset services are provided solely by the Exchanger. In the event there is a conflict between either the Bank Agreement or the Exchanger Agreement and these Terms, the respective third-party agreement shall control for those applicable services.

You may send money to another merchant or individual (each, a “Payee”) at your initiation or in response to that Payee’s request for money. You understand that use of this Service by you shall at all times be subject to (i) these Terms, (ii) your express authorization for Bank to initiate a debit entry to your affiliated checking account, and (iii) the terms and conditions of the Banking Agreement. You acknowledge and agree that once the payment is initiated, it is irrevocable and may not be cancelled, reversed, or otherwise withdrawn. You may only cancel a payment if the Payee to whom you sent the money has not yet enrolled with Bolt with the email address or U.S. mobile number to which you initiated the payment.

Neither Bolt nor Bank has control over the actions of other Payees, the Network, or other financial institutions that could delay or prevent your money from being delivered to the intended Payee.

Neither Bolt nor the Bank shall have any liability to you for any transfers of money, including without limitation, (i) any failure, through no fault of Bolt or the Bank, to complete a transaction in the correct amount, or (ii) any related losses or damages. We recommend that you send money only to friends, family and other Payees that you know and trust.

Neither Bolt nor the Bank shall be liable for any typos or keystroke errors that you may make when using the Service. YOU UNDERSTAND AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR ENTERING THE CORRECT U.S. MOBILE PHONE NUMBER OR EMAIL ADDRESS FOR THE PAYEE THAT YOU ARE SENDING MONEY TO OR REQUESTING MONEY FROM, AND THAT YOU, NOT BOLT OR THE BANK, ARE RESPONSIBLE FOR ANY AMOUNTS THAT ARE TRANSFERRED TO THE INCORRECT PERSON AS A RESULT OF YOU ENTERING THE INCORRECT U.S. MOBILE NUMBER OR EMAIL ADDRESS.

THE SERVICE IS INTENDED FOR SENDING MONEY TO FAMILY, FRIENDS AND OTHER PAYEES YOU TRUST. YOU SHOULD NOT USE THE BOLTSERVICE TO SEND MONEY TO PAYEES WITH WHOM YOU ARE NOT FAMILIAR OR YOU DO NOT TRUST. BOLT DOES NOT OFFER A PROTECTION PROGRAM FOR AUTHORIZED PAYMENTS MADE WITH THE SERVICE (FOR EXAMPLE, IF YOU DO NOT RECEIVE THE GOODS OR SERVICES THAT YOU PAID FOR, OR THE GOODS OR SERVICES THAT YOU RECEIVED ARE DAMAGED OR ARE OTHERWISE NOT WHAT YOU EXPECTED).

5. Product Terms.

a. This subsection applies to using Bolt Services for checkout and does not include the use of any services provided by the Bank and/or the Exchanger via the App (which is subject to each separate Agreement).

i.  Anytime you click “pay” on the Services, you are authorizing the Merchant and/or a payment processor on Merchant’s behalf to transfer funds out of your bank account, payment card or other payment method (as applicable), and deposit them into the Merchant’s account. If you complete a purchase with recurring payments, you authorize the Merchant and/or a payment processor on Merchant’s behalf to charge the card or other payment method you used for the initial purchase for each reoccurrence.

  1. For each and every purchase you make using Bolt Services, you consent to the creation and use of a unique token in connection with that purchase. This unique token allows us to affect a charge on your credit or debit card or other payment method for such purchase or any future transactions when you use the same credit or debit card or other payment method.
  2. When storing your payment information into your Bolt Account, you agree that the Merchant may charge you in accordance with your agreement with such Merchant for each transaction using the stored payment Information. When you complete a transaction using your Bolt Account, you agree that Bolt may use the Information stored in your Bolt Account to initiate the payment process for your transaction with the Merchant. In the event Bolt obtains updated payment method information from your bank, you agree that we may use this updated information in providing Bolt Services to you.
  3. By submitting your order and payment request using Bolt Services, you represent and warrant that you are authorized to use the payment method provided and authorize the Merchant and/or Bolt on Merchant’s behalf (1) to affect a debit, withdrawal or charge to your payment method and (2) to initiate any credit, debit or charge to your payment method in order to process any returns, chargebacks, reversals, refunds, corrections or other necessary adjustments. All payment requests are subject to authorization by your card issuer, financial institution or payment network.
  4. Submitting a payment request does not necessarily assure that it will be accepted or processed. We reserve the right to refuse, suspend, or cancel any request at our sole discretion.
  5. In order for Bolt to verify your authority to use a card, you may be required to provide a mobile phone number and enter the One Time Passcode (“OTP”) that we send to that mobile phone number. By providing your phone number, you consent to receive a text and OTP from us as provided above. We may require additional information to complete your order.
  6. If you make a purchase in a currency other than United States Dollars, you acknowledge and agree to be charged and, if applicable, refunded according to the then-current exchange rate set by your card issuer, payment network or other financial institution.
  7. Additional terms and conditions may apply to your payment request and to specific portions or features of the Services including rules related to your use of your payment method such as Visa, MasterCard, American Express, and Discover payment networks and bank transfers. You agree to abide by such other terms and conditions, including where applicable representing that you are of sufficient legal age to use or participate in such service or feature. These Terms do not alter the Terms you’ve agreed to with a Merchant, except with respect to the direct relationship between you and Bolt.

b. The Service may allow you to perform certain functions and transactions on or related to your Banking Products, including, viewing your balance and transaction history, and submitting transaction instructions to Bank, including instructions to transfer funds between your Banking Product account and any bank account you link using the Service.  Through the App, you may direct us to retrieve your account transaction history, balance information, and/or other information maintained by third-parties with which you have relationships, maintain accounts or engage in financial transactions (“Third-Party Account Information”).  We work with one or more third-party service providers to access this Third-Party Account Information.  We will use this information to provide you with the Service you request, for our own internal business purposes and to offer you other products and services that may be of interest to you.  By requesting an account link, you authorize us to access this information maintained by identified third parties, on your behalf as your agent, and you expressly authorize such third parties to disclose your information to us.  You also agree that you are responsible for keeping any passwords and usernames you provide to us so we can retrieve this Third-Party Account Information secure, and for keeping those passwords and user names up to date in the App.  We do not review the Third-Party Account Information for accuracy, legality or non-infringement, and we are not responsible for your Third-Party Account Information or products and services offered by or on third-party sites.  You acknowledge that any Third-Party Account Information that is displayed through the Service will be the information we most recently accessed, and that this information may not reflect pending transactions or other recent activity.  Certain transaction limitations may apply to linked account transfers. Please refer to the Bank Agreement for the respective Banking Product for details.

  1. This subsection applies to using the Exchange Services provided by Exchanger via the App (which is subject to an Exchanger Agreement):
    1. In the event you enroll in Exchange Services, you may fund your Wallet through the Checking Account or Linked Bank Account by instructing the financial institution holding such account to transfer funds to the Wallet (if permitted by us or Exchanger) or by instructing Exchanger to debit the Checking Account or Linked Bank Account though the App. You may only provide instructions to Exchanger with respect to the Wallet through the App.
    2. Digital assets offered by Exchanger and its applicable affiliates are not securities, are not covered by any regulated insurance scheme, including protection provided by the Securities Investor Protection Corporation or the Federal Deposit Insurance Corporation, or by any private insurance policy, and digital assets are not insured against theft or loss, including cyber theft or theft by other means.
    3. If you submit a withdrawal transaction from your Wallet to Exchanger through the App,(i) neither we nor Exchanger will not be responsible for any digital asset which is sent to an external address in accordance with your instructions; and (ii) once a digital asset is sent to an external address, the digital asset is outside of Exchanger’s custody and control and the transfer cannot be reversed.
    4. With respect to digital assets related to your Wallet, you acknowledge that: (a) the regulatory regime governing blockchain technologies, digital assets is uncertain, and new regulations or policies may materially adversely affect the potential utility or value of such digital assets. There also exists the risks of new taxation of the purchase or sale of digital assets; (b) neither we nor Exchanger can control how third-party exchange platforms quote or value digital assets, and we expressly deny and disclaim any liability to you and deny any obligations to indemnify or hold you harmless for any losses you may incur as a result of fluctuations in the value of digital assets; (c) smart contracts execute automatically when certain conditions are met. Neither we nor Exchanger have the ability to reverse a transaction that is recorded on a public blockchain. You are responsible for ensuring that any details entered in connection with a transaction using any smart contracts are accurate and complete. Neither we nor Exchanger are responsible for any losses due to your errors, including an incorrectly constructed transaction. Further, since smart contracts typically cannot be stopped or reversed, vulnerabilities in their programming and design or other vulnerabilities that may arise due to hacking or other security incidents can have adverse effects to digital assets, including but not limited to significant volatility and risk of loss; (d) (1) fraudulent transfers may result in the loss of your digital assets with no recourse; (2) all digital assets transfers are irrevocable, except in our sole and absolute discretion; (3) except as required by law, neither we nor Exchanger have responsibility or liability for unauthorized, mistaken, or accidental transfers of digital assets or fiat; (4) due to the nature of virtual currency, there is an increased risk of fraud or cyberattack and your digital assets, or their value, may be irretrievably stolen; and (5) any digital assets that you acquire may have limited convertibility; and (e) there are inherent risks associated with using or interacting with public blockchains and blockchain technology. Neither we nor Exchanger control any of the underlying blockchain protocols and related software. There is no guarantee that such technology will be available and it may be subject to errors, hacking, or other security risks. Underlying blockchain protocols may also be subject to sudden changes in operating rules, including forks, and it is your responsibility to make yourself aware of upcoming operating changes. These operating rule changes may affect the availability and value of your digital assets. In the event of any operational rule change, we reserve the right to take any steps we determine are necessary to protect the security of the digital assets held via the Services, including by temporarily suspending the Services for the affected digital assets. We will not be liable for any loss of value you may experience as a result of such changes in operating rules.

The risks described herein may result in loss of your digital assets, decrease in or loss of all value for your digital assets, inability to access or transfer digital assets, inability to trade digital assets, inability to receive financial benefits available to other digital assets holders, and other financial losses to you. You hereby assume, and agree that neither we nor Exchanger will have responsibility or liability for such risks. To the maximum extent permitted by applicable law, you hereby irrevocably waive, release and discharge any and all claims, whether known or unknown to you, against us and our affiliates and their respective shareholders, members, directors, officers, employees, agents and representatives related to any of the risks set forth herein. As applicable, you waive application of Section 1542 of the Civil Code of the State of California, or any similar statute or law of any other jurisdiction. Section 1542 reads as follows: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR.”

  1. You authorize us to provide Exchanger any information maintained in connection with your Account and/or the provision of Exchange Services and to continue sharing such information and any revisions or additions thereof.
  2. In connection with the Services herein, you may have access to data provided by Third Party Providers, including Market Data. As used herein, “Market Data” means certain cryptocurrency transactions, pricing information, pricing data and related information. You agree and acknowledge that such Market Data is provided on an “as is” and “as available” basis and without warranty of any kind, and Bolt, Exchanger and their respective affiliates disclaim all warranties, including, without limitation, any implied warranties of merchantability and fitness for a particular purpose.  You agree and acknowledge that you assume all risks of relying on Market Data, including, but not limited not, deciding whether or not to place orders based on Market Data. Neither Bolt nor Exchanger will be responsible or liable to you for any losses, damages, costs, claims, or expenses incurred by you as a result of or arising from reliance on Market Data.

  1. By using the Service, you agree that we and Financial Institutions are entitled to act on transaction or any other instructions we receive under your login ID and password for the Service, and you agree that any actions taken under your login ID and password will have the same effect as a signature authorizing the transaction or other action. Subject to applicable law, we reserve the right to deny transactions or any other actions you authorize through the Service without notice to you.

  1. In order to access certain Services, you must link one or more of your bank or payment accounts or cards to the Account (each such bank account, a “Linked Bank Account”), and we may require you to link such Linked Bank Account to your Account using Financial Services. We may access your Linked Bank Account and any information related to your Linked Bank Account, and may use such information for any purpose, subject to our Privacy Policy and applicable law. We may debit Linked Bank Accounts for all amounts owed to us in connection with our provision of Services. If we cannot collect these amounts via ACH or another method, you agree to immediately pay all amounts owed as directed. In the event there is an error in processing an electronic debit, you authorize us to correct the error by initiating an electronic credit or debit to the Linked Bank Account in the amount of such error on or after the date such error occurs. You understand this authorization will remain in effect and irrevocable, unless you provide at least 7 days’ prior notice requesting termination of this authorization. We may also terminate this authorization for any reason. We may terminate the Services if you do not provide authorization to debit a Linked Bank Account. You are responsible for all costs of collections and damages if amounts owed are not paid in full by you when due. You are solely responsible for any fees or charges incurred from overdrafts or rejected transactions. If a transaction is rejected, we may debit the Linked Bank Account again until the transaction is completed, subject to applicable law. You acknowledge and agree that all payment information, including information related to Linked Bank Account, is accurate, current and complete, and you represent and warrant that you have the legal right to use the Linked Bank Account to us or our payment processor.

Bolt reserves the right to close, suspend, or limit access to your Bolt Account and/or the Services in the event that, in our sole discretion, (a) we are unable to obtain or verify identity or eligibility; (b) the security of your Bolt Account has been compromised; or (c) your Bolt Account has been used in, or seems to have been used in, a nefarious manner.
  5. If fraud is suspected, Bolt or the applicable Merchant may refuse to process a transaction. If fraud is detected after a transaction is processed, Bolt or the applicable Merchant may at any time refuse the transaction and initiate a refund of the charged amount back to the payment method it was charged to.
  6. In the event our fraud detection activities result in our, or the applicable Merchant’s, refusal to process a transaction, you will be notified with an email to the address you provided during payment.

7. Your Relationship with Merchants.

  1. You are purchasing goods and/or services from the Merchant and your purchase is governed by any Merchant terms and conditions offered or any contract between you and the Merchant. Bolt acts as the Merchant’s agent with respect to your transactions with the Merchant and receives payments from you on their behalf. You must contact the Merchant to resolve any issues you have with respect to the goods and services you ordered or purchased from the Merchant, including any issues relating to shipping and delivery, product warranty, product return, refund, exchange, and the terms of any agreements you entered into with the Merchant in connection with your order or purchase. 4. You agree that we can make information about your purchase available to the Merchant through a Merchant dashboard and/or our API so that Merchant may fulfill your order. If your Merchant operates through a third-party platform, such as Shopify, your purchase Information may be shared with that platform through the Merchant.
  5. Direct any issues or questions you have regarding your order, associated goods and services, shipping, delivery, and returns to the Merchant. Direct any issues or questions regarding the Services to us.

All rights not expressly granted in these Terms are reserved by Bolt. This license terminates when these Terms terminate or otherwise at the discretion of Bolt. Any use of the Bolt Services in violation of these Terms may result in termination or suspension of your permission to use the Bolt Services and an immediate revocation of any license granted in these Terms without notice to you.
  3. If you provide any feedback to Bolt concerning the functionality and performance of the Services (including identifying potential errors and improvements), you hereby assign to Bolt all right, title, and interest in and to such feedback, and Bolt is free to use such feedback without payment or restriction.

Bolt has the sole right to decide whether you are in violation of any of the restrictions set forth in these Terms.
  2. Bolt reserves the right, but not the obligation to close your Account if there is a prolonged period of inactivity.

10.  Changes to the Bolt Services and Other Bolt Actions.

  1. Bolt is always improving the Services, so they may change over time. We may suspend or discontinue any part of the Services, or we may introduce new features or impose limits on certain features or restrict access to parts or all of the Services. Bolt reserves the right to change these Terms at any time, and if we determine that changes are material, we will notify you by reasonable means, which may include either posting the change to our Services or any page from which you access the Services. If you use the Bolt Services after the date the change takes effect, you consent to the changed Terms. We encourage you to read the Terms before each new purchase or payment transaction through the Bolt Services.
  2. These Terms, along with any applicable Bolt policies and other agreements that you have agreed to, sets forth the entire understanding between you and Bolt with respect to the Services. It supersedes any prior agreements between you and Bolt regarding your use of the Services. All parts of these Terms apply to the maximum extent permitted by law. Unless stated otherwise in these Terms, if any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
  3. Limitations. Notwithstanding any limitations described elsewhere in these Terms, Bolt may establish general practices and limits concerning use of the Services with or without notice to you, including without limitation individual or aggregate transaction limits on the dollar amount or number of transactions during any specified time period(s).
  4. Changes. We reserve the right to change, suspend or discontinue any aspect of the Services at any time, including hours of operation or availability of the Services or any Service feature, without notice and without liability. We also reserve the right to impose limits on certain Service features or restrict, suspend or terminate your access to some or all of the Services without notice and without liability. 5. Suspension. We may limit or suspend your use of one or more Services at any time, in our sole and absolute discretion. The changes will become effective, and shall be deemed accepted by you, after the initial posting or sending of the communication and shall apply on a go-forward basis with respect to transactions initiated after the posting or communication date. In the event that you do not agree with any such modification, your sole and exclusive remedy is to terminate your use of the Services.

11. Warranty Disclaimer.

  1. Neither Bolt nor its affiliates or partners make any representations or warranties concerning any content contained in or accessed through the Services, and we will not be responsible or liable for the accuracy, copyright compliance, legality, or decency of material contained in or accessed through the Services. We (and our affiliates) make no representations or warranties regarding suggestions or recommendations of services or products offered or purchased through the Services. Bolt does not guarantee the continuous, uninterrupted, error-free or secure use of any part of the Services. Use of the Services may be interrupted due to events outside Bolt’s reasonable control, such as delays in the banking system or credit card networks or data networks. As applicable, Bolt will use commercially reasonable efforts to initiate the payment process in a timely manner, but Bolt makes no representations or warranties regarding the time it takes to complete any transaction. THE SERVICES AND CONTENT ARE PROVIDED BY BOLT AND ITS AFFILIATES ON AN “AS-IS” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY, WITH RESPECT TO YOUR USE OF THE SERVICES. TO THE EXTENT PERMITTED BY APPLICABLE LAW, BOLT DISCLAIMS ANY AND ALL STATUTORY WARRANTIES, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, ACCURACY AND NON-INFRINGEMENT. YOU EXPRESSLY AGREE THAT YOUR USE OF THE BOLT SERVICES IS AT YOUR SOLE RISK.

12. Limitation of Liability.

  1. TO THE FULLEST EXTENT ALLOWED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY (INCLUDING, WITHOUT LIMITATION, TORT, CONTRACT, STRICT LIABILITY, OR OTHERWISE) SHALL BOLT, BOLT’S AFFILIATES, AND THE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND SUPPLIERS OF BOLT OR ITS AFFILIATES, BE LIABLE TO YOU OR TO ANY OTHER PERSON FOR (A) ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING DAMAGES FOR LOST PROFITS, LOSS OF GOODWILL, WORK STOPPAGE, ACCURACY OF RESULTS, OR COMPUTER FAILURE OR MALFUNCTION, (B) ANY AMOUNT, IN THE AGGREGATE, IN EXCESS OF $100 USD, AND/OR (C) ANY MATTER BEYOND OUR REASONABLE CONTROL. SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE LIMITATION AND EXCLUSIONS MAY NOT APPLY TO YOU.

1‍3. Indemnity.

  1. To the fullest extent allowed by applicable law, you agree to indemnify and hold Bolt, its affiliates, suppliers, officers, agents, employees, and partners harmless from and against any and all claims, suits, controversies, breaches, liabilities, damages (actual and consequential), losses and expenses (including attorneys’ fees) arising from or in any way related to any third party claims relating to (a) your use of the Services (including any actions taken by a third party using your Account or any dispute or litigation caused by your actions or omissions), (b) your violation of any agreement you have with us, including but not limited to these Terms and Acceptable Use Policy; (c) the reliance on any information provided by You to us or our Third Party Providers; (d) any misrepresentation of or omission from information provided by you to us or our Third Party Providers relating to the Services; (e) any misappropriation, fraudulent acts, illegal acts, or any breach of these Terms, by you, your officers, directors, employees, contractors, agents or anyone acting on your behalf; (f) your violation of Finance Services Agreement or use of Finance Services; (g) your negligence or violation or alleged violation of any applicable law or rights of a third party; (h) your violation of any agreement or Terms between you and the Merchant; and/or (i) your violation of any agreement between you and the card or payment networks such as Visa, MasterCard, American Express, and Discover Bank. In the event of such a claim, suit, or action (“Claim”), we will attempt to provide notice of the Claim to the contact information we have for your Account (provided that failure to deliver such notice shall not eliminate or reduce your indemnification obligations hereunder).

14. Void Where Prohibited

  1. Bolt administers and operates the Services from its location in San Francisco, California USA. Although certain Services are accessible worldwide, not all features, products or services discussed, referenced, provided or offered through or on the Services are available to all persons or in all geographic locations, or appropriate or available for use outside the United States. Bolt reserves the right to limit, in its sole discretion, the provision and quantity of any feature, product or service to any person or geographic area. Any offer for any feature, product or service made on the Services is void where prohibited. If you choose to access the Services from outside the United States, you do so on your own initiative and you are solely responsible for complying with applicable local laws.

15. Arbitration Agreement.

  1. Agreement to Arbitrate. Any dispute arising from or relating to the Services and these Terms shall be solely and exclusively resolved through a final and binding arbitration, as set forth in this Section 15 (“Arbitration Terms”), rather than in court, except for disputes 1) that you or Bolt may assert in small claims court, so long as the matter remains in such court and advances only on an individual (non-class, non-representative) basis, 2) relating to the enforcement of validity of intellectual property rights, or 3) where the sole form of relief requested is injunctive relief. These Arbitration Terms and any dispute or arbitration hereunder will be governed by the Federal Arbitration Act and the laws of the State of California, without regard to principles of conflict of law, including any applicable statutes of limitations. The arbitrator’s award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
  2. Prohibition of Class and Representative Actions and Non-Individualized Relief. YOU AND BOLT AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS AS OTHERWISE PROVIDED IN SECTION 15(h) OR IF BOTH YOU AND BOLT AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON’S OR PARTY’S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY’S INDIVIDUAL CLAMS). ANY RELIEF AWARDED CANNOT AFFECT OTHER BOLT USERS. Notwithstanding anything to the contrary in this Arbitration Agreement, if a final decision, not subject to any further appeal or recourse, determines that the limitations of this Section are invalid or unenforceable as to a particular claim or request for relief (such as a request for public injunctive relief), the parties agree that that particular claim or request for relief (and only that particular claim or request for relief) shall be severed from the arbitration and may be litigated only in the courts provided for in this Arbitration Agreement.
  3. Arbitration Procedures. Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, discovery is more limited, and court review of an arbitration award is very limited. However, an arbitrator can award the same damages and relief on an individual basis that a court can award to an individual, including monetary damages, and injunctive or declaratory relief. An arbitrator also must follow these Terms as a court would.
  4. Informal Dispute Resolution. The parties agree to try to resolve any disputes in good faith through informal efforts. The parties therefore agree that, before either party commences an arbitration or small claims proceeding, the parties will personally meet and confer telephonically or via videoconference in a good faith effort to resolve informally any dispute covered by this Arbitration Agreement (the “Informal Dispute Resolution Conference”). The party initiating the dispute must give notice to the other party in writing of its, his, or her intent to initiate an Informal Dispute Resolution Conference, which shall occur within thirty (30) days after the other party receives such notice (“Notice of Intent”). To notify Bolt such Notice of Intent, email legal@bolt.com and include your name, telephone number associated with your Bolt Account, the email address associated with your Bolt Account, and a description of your claim, including the amount of monetary relief (if any) you seek. Compliance with this paragraph is a requirement that must be fulfilled before commencing individual arbitration or small claims proceedings.

The Informal Dispute Resolution Conference shall be individualized such that a separate conference must be held each time either party initiates a dispute, even if the same law firm or group of law firms represents multiple users in similar cases, unless all parties agree; multiple individuals initiating a dispute cannot participate in the same Informal Dispute Resolution Conference unless all parties agree. The statute of limitations, the one-year limitations period provided herein, and any filing fee deadlines shall be tolled while the parties engage in the informal dispute resolution process provided by this paragraph. If the dispute has not been resolved within thirty (30) days after the Notice of Intent was sent, tolling shall be suspended and such periods shall resume, unless otherwise mutually agreed in writing.  Both you and we agree that this dispute resolution procedure is a condition precedent and requirement which must be satisfied before filing an arbitration demand or otherwise initiating any arbitration against the other party.

  1. Arbitration Rules and Procedure. The arbitration will be conducted by the American Arbitration Association (“AAA”) under its rules and procedures, including any Supplementary Procedures available for Consumer-Related Disputes at the time. The AAA’s rules are available at www.adr.org. A form for initiating arbitration proceedings is available on the AAA’s website at http://www.adr.org. Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s rules, unless otherwise stated in these Arbitration Terms.
  2. The arbitration shall be held in a reasonably convenient location in the state in which you reside or at another mutually agreed location, except as provided in section 15(j). Attendance at an in-person hearing may be made by telephone by you and/or Bolt, unless the arbitrator requires otherwise. If the value of the relief sought is $10,000 or less, either you or Bolt may elect to have the arbitration conducted based solely on written submissions pursuant to the AAA’s Procedures for the Resolution of Disputes through Document Submission, which election shall be binding on you and Bolt subject to the arbitrator’s discretion to require an in-person hearing, if the circumstances warrant.
  3. Authority of Arbitrator and Procedure. In any arbitration under this Arbitration Provision, all issues are for the arbitrator to decide. The arbitrator shall have the exclusive authority to decide disputes regarding including his or her own jurisdiction, and any objections with respect to the existence, enforceability, scope, or validity of this Arbitration Provision. A court of competent jurisdiction shall have the authority to decide 1) all Disputes arising out of or relating to Section 15(b), including any claim that all or part of Section 15(b) is unenforceable, illegal, void or voidable, or that Section 15(b) has been breached, shall be decided by a court of competent jurisdiction and not by an arbitrator; (2) except as expressly contemplated in Section 15(h), all Disputes about the payment of arbitration fees shall be decided only by a court of competent jurisdiction and not by an arbitrator; (3) all Disputes related to any condition precedent to arbitration, including any Disputes about whether either party has satisfied any condition precedent to arbitration; and (4) all Disputes about which version of the Arbitration Agreement applies shall be decided only by a court of competent jurisdiction and not by an arbitrator.
  4. 30-Day Right to Opt Out. You have the right to opt out of the provisions of this Arbitration Agreement by sending written notice of your decision within 30 days after first accepting these Arbitration Terms or 30-days after the effective date of any updated terms to: support@bolt.com. Opting out of this Arbitration Agreement has no effect on any other arbitration agreements that you previously entered into, or may enter in the future, with us. Your notice must include your full name, the email address you used to set up your Bolt Account, and an unequivocal statement that you want to opt out of this Arbitration Agreement. If you opt out of this Arbitration Agreement, all other parts of this Agreement will continue to apply to you. Opting out of this Arbitration Agreement has no effect on any other arbitration agreements that you may currently have, or may enter in the future, with us.
  5. Jury Waiver. IF FOR ANY REASON A DISPUTE OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE RELATIONSHIP BETWEEN YOU AND BOLT PROCEEDS IN COURT RATHER THAN IN ARBITRATION, YOU AND BOLT EACH WAIVE ANY RIGHT TO A JURY TRIAL TO THE FULL EXTENT PERMITTED BY APPLICABLE LAW.
  6. Coordinated or Mass Arbitrations.  If you file a claim in arbitration that is similar to those of at least 25 other claimants (i.e., the claims are based upon the same or similar facts, events, or legal claims), and if you and those other claimants are represented by the same lawyers, or by lawyers who are coordinating with each other, you and we agree that these claims will be considered “Related Cases.” For Related Cases, the AAA shall (1) administer the arbitration demands in batches of 100 Arbitration Notices per batch (plus, to the extent there are less than 100 Arbitration Notices left over after the batching described above, a final batch consisting of the remaining Arbitration Notices), or in a single batch if there are fewer than 100 Arbitration Notices in total; (2) appoint one arbitrator for each batch; (3) administer the batches concurrently; (4) provide for the resolution of each batch as a single consolidated arbitration with one set of with one set of arbitrator fees due per batch, one procedural calendar, one hearing (if any) in a place to be determined by the arbitrator, and one final award (“Batch Arbitration”). Arbitration awards in one batch of arbitration demands shall have no precedential effect on subsequently administered batches.

The parties agree to work cooperatively with the AAA to make filing and administrative fees as minimal as possible; and if such fees exceed $100 in a matter in which the Batch Arbitration provision applies, the parties agree to resolve their dispute in court rather than in arbitration.

  1. Severability and Survival. Except with respect to Section 15(b) and 15(h), if any part or parts of these Arbitration Terms are found under the law to be invalid or unenforceable, then such specific part or parts will be of no force and effect and will be severed, and the remainder of the Arbitration Agreement will continue in full force and effect. For the avoidance of doubt, this means that, if the Class Action Waiver or Mass Arbitration provision are found under the law to be invalid or unenforceable to any extent, then you agree that the entire Arbitration Agreement shall be of no force and effect.  These Arbitration Terms will survive the termination of your relationship with Bolt.
  2. Future Changes to these Arbitration Terms. Notwithstanding any provision in these Terms to the contrary, you and Bolt agree that if we make any change to these Arbitration Terms (other than a change to any notice address or website link provided herein) in the future, that change shall not apply to any claim that was filed in a legal proceeding against Bolt prior to the effective date of the change.
  3. One-Year Limitations Period. You agree that any claim against Bolt must be brought within one year of the date on which you first become aware, or reasonably should have become aware, of the facts giving risk to such claim. You agree that this one-year limitation period is reasonable and that if you fail to provide Bolt notice of intent to initiate an informal dispute resolution conference or other action within such time, your claim will be forever barred and may not be pursued against Bolt, either in arbitration or a court.

16. Links to Third Party Sites and Data

In connection with your use of the Services, or in the course of your interactions with Bolt, you may be linked to other websites that are not sites controlled or operated by Bolt (collectively, “Third-Party Sites”) or provided access to third-party products or services, content, applications or materials (collectively, with Third-Party Sites, “Third-Party Services”, and any third party provider of the Third-Party Services, “Third Party Providers”). For the avoidance of doubt, Financial Institutions are considered Third Party Providers. Certain areas of the Services may allow you to interact and/or conduct transactions with such Third-Party Services, and, if applicable, allow you to configure your privacy settings in your Third-Party Services account to permit your activities with Services to be shared with third parties, including Third Party Providers. You acknowledge and agree that the Third-Party Services may contain different privacy policies and terms and conditions and/or user guides and business practices than Bolt, and you further acknowledge and agree that your use of such Third-Party Services is governed by the respective Third-Party Service privacy policy and terms and conditions and/or user guides, which may or may not be more restrictive than terms and conditions set forth by Bolt. You agree to comply with any and all terms and conditions, users guides and privacy policies of any of any Third-Party Services. In all cases, you access Third-Party Services at your own risk. You hereby agree to hold us harmless from any damages or loss that may result from your use of Third-Party Services.

The availability of such Third-Party Services does not constitute endorsement by us or association with those Third-Party Services or their operators. We do not control any such Third-Party Services, and are not responsible for their (i) availability or accuracy, or (ii) content, advertising, products, or services. You acknowledge and agree that we are not involved in the creation or development of Third-Party Services and that we shall not be responsible or liable for Third-Party Services or claims arising out of or relating to your acceptance and/or use of Third-Party Services. Further, you acknowledge and agree that we have no obligation to monitor, review, or remove Third-Party Services, but reserves the right to limit or remove Third-Party Services on the Services at its sole discretion.

Bolt makes no representations and takes no responsibility for such Third-Party Services, including, without limitation, the truthfulness, accuracy, quality or completeness of the content, services, links displayed and/or any other activities conducted on or through such Third-Party Services. Any reference to any product, service, or organization of any third-party entity or individual does not constitute or imply Bolt’s endorsement or recommendation.

YOU AGREE THAT BOLT WILL NOT, UNDER ANY CIRCUMSTANCE, BE RESPONSIBLE OR LIABLE, DIRECTLY OR INDIRECTLY, FOR ANY GOODS, SERVICES, INFORMATION, RESOURCES AND/OR CONTENT AVAILABLE ON OR THROUGH ANY THIRD-PARTY SERVICES AND/OR THIRD-PARTY DEALINGS OR COMMUNICATIONS, OR FOR ANY HARM RELATED THERETO, OR FOR ANY DAMAGES OR LOSS CAUSED OR ALLEGED TO BE CAUSED BY OR IN CONNECTION WITH YOUR USE OR RELIANCE ON THE CONTENT OR BUSINESS PRACTICES OF ANY THIRD-PARTY OR THIRD PARTY PROVIDER.

17. Additional Terms

  1. Governing Law. These Terms are governed by and will be construed under the laws of the State of California, without regard to the conflicts of laws provisions thereof.
  2. Severability. If any provision of these Terms is to any extent invalid, illegal, or incapable of being enforced, such provision shall be excluded to the extent of such invalidity, illegality, or unenforceability; all other provisions hereof shall remain in full force and effect.
  3. Force Majeure. Bolt will not be liable for any delay or failure to perform any obligation herein if the delay or failure is due to unforeseen events that are beyond Bolt’s reasonable control, such as strikes, blockade, war, terrorism, riots, natural disasters, epidemic, or governmental action, in so far as such an event prevents or delays Bolt in fulfilling its obligations hereunder.
  4. Assignment. You may not transfer or assign any rights or obligations you have under these Terms without Bolt’s prior written consent. Bolt reserves the right to transfer or assign these Terms or any right or obligation under these Terms at any time without consent.

E-COMMUNICATIONS POLICY

Please read this e-Communication Policy carefully. This policy describes how Bolt communicates with you electronically. You accept this policy as part of the End User Terms of Use (the “Terms”) or by using Bolt Services.  We may amend this policy at any time, as set forth in the Terms.

Electronic delivery of communications

You agree and consent to receive electronically all communications, agreements, documents, notices and disclosures (collectively, “Communications”) that we provide in connection with your Bolt Account and your use of Bolt Services. Communications include updates to these Terms, any consent for marketing or other messages delivered by Bolt, and any agreements, documents, notices and disclosures regarding Exchange Services provided by Exchanger via the App.

Among other methods, we may provide these Communications to you by posting them on the Bolt website or the App and/or by emailing them to you at the primary email address listed in your Bolt profile.

Hardware and software requirements

In order to access and retain electronic Communications, you will need the following computer hardware and software:

  • a computer with an Internet connection;
  • a current web browser that includes 128-bit encryption;
  • a current version of Adobe Acrobat Reader to open documents in .pdf format;
  • a valid email address (your primary email address on file with Bolt); and
  • sufficient storage space to save past Communications or an installed printer to print them.

We will notify you if there are any material changes to the hardware or software needed to receive electronic Communications from Bolt. By giving your consent, you are confirming that you have access to the necessary equipment and are able to receive, open, and print or download a copy of any Communications for your records. You may print or save a copy of these Communications for your records as they may not be accessible online at a later date.

How to withdraw your consent

You may withdraw your consent to receive Communications electronically by emailing us at support@bolt.com, writing to us at “Bolt SuperApp, Inc. Any paper copies are sent to the address you have on file with us.

Updating your contact information

It is your responsibility to keep your primary email address up to date so that Bolt can communicate with you electronically. You understand and agree that if Bolt sends you an electronic Communication but you do not receive it because your primary email address on file is incorrect, out of date, blocked by your service provider, or you are otherwise unable to receive electronic Communications, Bolt will be deemed to have provided the Communication to you. Please note that if you use a spam filter that blocks or re-routes emails from senders not listed in your email address book, you must add Bolt to your email address book so that you will be able to receive the Communications we send to you.

You can update your primary email address or address at any time by logging into you Bolt Account and updating your profile settings. If your email address becomes invalid such that electronic Communications sent to you by Bolt are returned, Bolt may deem your Account to be inactive, and you may not be able to use any Bolt Services until we receive a valid, working primary email address from you.
